Abstract: Despite the critical role of contractual and relational governance mechanisms in interfirm exchanges, controversy exists regarding whether they function as complements or substitutes. This study examines how formal and informal institutions moderate the interplay of contractual and relational governance. A survey of 305 manufacturer–supplier exchanges in China indicates that customized contracts and relational governance function less as complements in fostering exchange performance when legal systems become more efficient. In contrast, contracts and relational governance are more complementary in improving performance when guanxi importance is higher. These results suggest the importance of matching the collective use of contractual and relational governance with institutional forces to foster better exchange performance in China.
